Terms of Service

Mudeme BizControl โ€” a product of Mudeme Technology Concepts

These Terms of Service govern access to and use of Mudeme BizControl. By creating an account or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of a business, you confirm you have authority to bind that business to these Terms.

1. The Service

Mudeme BizControl is a business management platform that helps small and medium-sized businesses manage sales, expenses, customers, invoices, debtors, inventory, compliance records, and customer messaging from a single dashboard. Features available to you may vary depending on your subscription plan, and we may add, change, or remove features from time to time.

2. Eligibility and Account Registration

  • You must be at least 18 years old and legally capable of entering into a binding contract to create an account.
  • You must provide accurate and complete registration information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must notify us promptly of any unauthorised use of your account or any other security breach.

3. Subscription, Fees, and Payment

  • Certain features require a paid subscription. Applicable fees and plan features will be presented at the point of purchase or upgrade.
  • Payments are processed through our third-party payment partner (Flutterwave). We do not store your full card details.
  • Subscription fees are billed in advance on a recurring basis unless otherwise stated, and are non-refundable except where required by law.
  • We may change our fees with reasonable prior notice. Continued use after a fee change takes effect constitutes acceptance.
  • Failure to pay may result in suspension or downgrade of your account to a free tier, where available.

4. Acceptable Use

You agree not to use the Service to:

  • Upload or transmit unlawful, fraudulent, defamatory, or infringing content.
  • Attempt to gain unauthorised access to any part of the Service, other accounts, or underlying systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Send unsolicited communications in violation of applicable law.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
  • Use the Service in violation of the Nigeria Data Protection Act, 2023, or any other applicable law.

We reserve the right to suspend or terminate accounts that violate this section.

5. Your Data and Content

  • You retain ownership of the business data, customer records, and other content you input into the Service ("User Content").
  • You grant us a limited, non-exclusive licence to host, process, and display User Content solely for the purpose of providing and improving the Service to you.
  • You are responsible for the accuracy and legality of the User Content you input, including confirming you have a lawful basis to collect and process any personal data.
  • You may export your data at any time using the reporting/export features available in the Service.

6. AI Assistant and AI-Generated Content

AI-generated outputs are suggestions only and may occasionally be inaccurate or incomplete. You are responsible for reviewing and verifying any AI-generated content before relying on it or sending it to a third party. We do not guarantee the accuracy, completeness, or suitability of any AI-generated output for a particular purpose, including tax, legal, financial, or compliance decisions.

7. Third-Party Integrations

Your use of integrations such as Flutterwave, WhatsApp, Instagram, and Facebook is also subject to the relevant third party's own terms and policies. We are not responsible for the availability, performance, or acts or omissions of third-party services.

8. Intellectual Property

The Service, including its software, design, branding, and underlying technology, is owned by Mudeme Technology Concepts and its licensors. Except for the limited licence to use the Service as intended, these Terms do not grant you any rights to our intellectual property.

9. Confidentiality

Each party agrees to protect the other's confidential information disclosed in connection with the Service, using at least the same degree of care it uses to protect its own confidential information of a similar nature.

10. Service Availability and Support

We aim to keep the Service available and performing reliably, but we do not guarantee uninterrupted or error-free operation. Support is provided through the channels made available within the Service or on our website, and may vary depending on your subscription plan.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Mudeme Technology Concepts shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity. Our total aggregate liability shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Mudeme Technology Concepts, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service in violation of these Terms, applicable law, or the rights of a third party.

13. Termination

  • You may close your account at any time through the Service or by contacting us.
  • We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or if we discontinue the Service.
  • Provisions which by their nature should survive termination (including Sections 8, 9, 11, 12, and 15) will continue to apply.

14. Data Protection

Our collection and processing of personal data is described in our Privacy Policy, which forms part of these Terms. Where you input personal data about your own customers or staff, you act as the Data Controller under the Nigeria Data Protection Act, 2023, and Mudeme acts as your Data Processor.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria in respect of your use of the Service within Nigeria, without prejudice to any mandatory laws of England and Wales applicable to Mudeme Technology Concepts as a UK-registered entity. The parties will attempt to resolve any dispute through good-faith negotiation before pursuing formal proceedings.

16. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify you through the Service or by email in advance. Continued use after the effective date constitutes your acceptance.

17. Miscellaneous

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Assignment: You may not assign your rights without our prior written consent.
  • No waiver: Our failure to enforce any provision does not constitute a waiver.
